With what account are u trying to install the SP2? U should be an Domain admin and an Exchange Organization Administrator,
to be able to wright to exchange and ad.

Don't forget about Enterprise Admin and Schema Admin since SP2 updates the Schema.MVP | MCSE:M | MCITP: Enterprise Messaging Administrator | MCTS: OCS + Voice Specialization |

why don't you use Admin account to install or upgrade the sp2.?
