You can install Windows Server 2008 in a Windows 2003 domain. You need not raise the functional level of your domain for that reason unless the server you want to install is a domain controller.
This post says you can run Exchange 2003 in a Windows 2008 domain, however I recommend you real all the posts and test it yourself first.

Hi,
If you are looking for communication between Exchange 2003 and Active directory 2008, then the answer is yes but your Exchange must be at lest with SP2. The Exchange 2003 with SP2 communicate with writable 2008 server domain controllers. see this link from
the exchange team for more information : http://blogs.technet.com/b/exchange/archive/2007/08/16/3403679.aspx
