this is actually a POC enviroment another admin accidently installed the sharepoint on the same server after that i am not able to open the exchange console i am not good at exchange any way to repair this exchange.Syed Kasif

I guess it screwed up the IIS vdir. Have you removed sharepoint?Sukh

You need to set exclusions on the Sharepoint directories so they do not interfere with other IIS Virt Dirs. The folks in the Sharepoint forums can you help with that. Sharepoint likes to own things, so it probably reset the perms on some of those Exhcange directories. Here are the defaults: Default Authentication Settings for Exchange-related Virtual Directories

I faced the same issue as well when I reinstall my Exchange 2010 in test lab. I just follow the step in http://social.technet.microsoft.com/Forums/en-US/exchange2010/thread/e9810574-f82a-45e3-9f71-513b9c94686f/ and it works
